ABC clarifies position following media reports of separate FSCA investigation

Johannesburg - Africa Bitcoin Corporation Limited, a Johannesburg-listed company with activities spanning SME credit financing and Bitcoin treasury investment, has responded to the recent media reports concerning a further investigation announced by the Financial Sector Conduct Authority (FSCA) into certain transactions involving the Company's listed securities.

The company said "in the interest of transparency and to ensure that shareholders, institutional partners, employees and other stakeholders have an accurate understanding of the circumstances, ABC wishes to clarify the nature and current status of the investigation".

Background to the investigation

On 11 September 2026, ABC received correspondence from the FSCA notifying the Company that the regulator had registered an investigation into certain transactions in ABC securities during April and May 2026. The investigation concerns possible contraventions of section 80 of the Financial Markets Act 19 of 2012, relating to market manipulation.

In its statement, ABC says "Importantly, the FSCA's notification identifies the subject of the investigation as trading activities undertaken by individual market participants.

"The notification does not identify the individuals under investigation, allege that ABC or its Board engaged in market manipulation, or communicate any findings of wrongdoing.

"The investigation remains ongoing, and ABC has not been notified of any final determination or enforcement action arising from it".

A separate regulatory matter

ABC further said it wishes to emphasise that this investigation concerns a different period of trading from the matters addressed in the FSCA decisions announced by the Company on 1 September 2026. "Those earlier regulatory decisions related to trading activities dating back to September 2022. The current investigation concerns transactions during April and May 2026.

"The notification of this investigation does not establish any connection between the two matters, nor should the existence of an investigation be interpreted as evidence of wrongdoing by any individual or entity.

"ABC respects the FSCA's investigative processes and believes it is important that the regulator be afforded the opportunity to complete its work without speculation regarding the identities of market participants or the possible outcome".

ABC remains committed to regulatory cooperation and transparency

Through its statement, the company said it takes the integrity of financial markets, regulatory compliance and responsible corporate governance seriously, and it remains committed to cooperating fully with the FSCA and responding appropriately to any requests for information or assistance. "ABC also recognises the importance of maintaining accurate and responsible communications with shareholders and the broader investment community, particularly during periods of heightened public attention.

"The Company will continue to assess developments in the investigation and communicate further material information where appropriate and in accordance with applicable regulatory and disclosure obligations".

Business operations and institutional commitments

ABC further added that notwithstanding the recent regulatory and governance developments, its executive management team remains focused on maintaining operational continuity and fulfilling the Company's responsibilities to its employees, borrowers, shareholders, institutional funders and other stakeholders.

"The Company's underlying business activities and ongoing governance and regulatory remediation initiatives remain priorities. ABC remains committed to protecting the interests of all its stakeholders while maintaining appropriate oversight and cooperation with relevant regulatory authorities.

"ABC acknowledges the public interest in these developments and understands the importance of providing clear and factual information. The existence of a regulatory investigation is not a finding of misconduct," it concluded.
